DCG Acquisitions, a Dave Cantin Group company, handled the transaction.

This is Wheelers’ fifth new-vehicle dealership in Wisconsin. All are General Motors brands. 

Tim Lamb Group represented the seller.

Performance Brokerage Services advised the seller in the transaction. The purchase is the first new-car dealership for Bill Dickason as dealer principal. He’s the former platform manager for the former Southwest Kia Auto Group. Lithia Motors Inc. purchased that group in June 2021.

John Davis of Haig Partners represented the seller in the transaction. Logan Parker and Robert Bass of Bass Sox Mercer were legal counsel to the seller, while Emily Dillow of Underwood & Roberts advised the buyer.

This is Withers’ first new-vehicle dealership. 

Oeltjen, general sales manager, and Rodgers, general manager, are staying with Foundation as managing partners, and each has ownership stakes. The deal also included a used-vehicle dealership and two RV dealerships in Wichita Falls. No brokers were used in the transaction.

Jim Butler Auto, through subsidiary Linn Powerhouse Holdings, bought the dealership. Day is a co-owner of the subsidiary. The franchises have moved into a single, temporary facility next to Jim Butler Centralia Chevrolet in Centralia, Mo. The group plans to invest $3 million to build a Ford dealership, a Chrysler-Dodge-Jeep-Ram dealership and an expanded service facility. The group is aiming to complete the construction project in 2024.

The $3.2 billion transaction included 54 new-vehicle dealerships, seven used-vehicle dealerships, a used wholesale business, 11 collision centers, finance and insurance provider Total Care Auto and a marketing agency. BofA Securities was financial advisor to Asbury, while Jones Day and Hill Ward Henderson law firms provided legal counsel. J.P. Morgan Securities was Larry H. Miller Group’s financial adviser, while the Katten Muchin Rosenman and Snell & Wilmer law firms provided legal counsel.
